An In House Lawyer's Guide to Working with Distressed Businesses

This presentation is geared toward in-house counsel whose employer may be experiencing financial problems or who may be dealing with a customer or vendor that may be in financial distress.   

Many companies rely on their in-house legal department for advice and counsel in the areas where the company generally has the greatest needs. For many reasons, businesses can be reluctant to identify the impact and pressures of financial problems or business disruptions.  Often times, in-house counsel may not have significant personal knowledge of the financial position of the company or they may not have experience in the arena of commercial bankruptcy reorganization/out of court restructuring and workouts. 

This seminar is structured to instruct the in-house lawyer how to navigate through financial issues in an easy to understand format with a focus on the big picture practical issues and concerns that the in-house lawyer must be able to grasp at the outset of any given financial issue.

First, we pinpoint how to spot financial problems early. 

Second, we help you to understand your company’s financial structure and how it impacts the company’s legal obligations to creditors. 

Third, we lay out a road map for dealing with creditors in order of priority and importance, with special emphasis on negotiations with secured creditors who usually have the most influence over the company’s operational challenges.

Finally, we present the viable options that can be the building blocks of a comprehensive plan to alleviate burdensome debts and restructure the company for long-term fiscal health. 

The question of whether or when the in-house legal department will need to engage the assistance of outside bankruptcy counsel or other professionals will also be explored.
