Michael Egnal is a member of Flaster Greenberg’s Real Estate & Land Use and Business & Corporate Departments with more than 15 years of experience in commercial real estate and transactional law.
Michael represents multifamily and retail developers, brokers, investors, and businesses in all phases of real estate transactions, from negotiations to post-closing matters, including drafting key agreements and appearing before planning and zoning boards. A skilled practitioner in finance, leasing, zoning, construction, and development, he is known for his in-depth knowledge and business-oriented approach. Michael serves as a trusted advisor to his clients throughout the lifecycle of their projects. With well over a decade of experience in private equity, he brings strategic insight into real estate transactions and firsthand knowledge of market dynamics.
In addition to his real estate practice, Michael advises clients on corporate and securities matters. Whether in mergers & acquisitions, securities offerings, or capital market transactions he excels in conducting thorough due diligence, identifying potential risks, and ensuring compliance with securities laws, corporate governance principles, and regulatory requirements.
Before joining Flaster Greenberg, he was a partner and General Counsel for several real estate private equity firms with prior experience at a large AmLaw national law firm.

- Advised a real estate developer receiving Green Energy Loan Funds as a component of the financing to acquire and renovate a mixed use building.
- Negotiated 12+ development projects for a multi-strategy real estate private equity investor including acquisition, construction, and permanent financing.
- Represented investor group in filing several tax assessment appeals.
- Advised a business owner on entity formation, financing, and acquisition of the commercial property they had previously been leasing.
- Worked with a real estate investment partnership to negotiate a $2.5M private note.
- Arranged state and federal historic tax credits for the redevelopment of a multi-family property.
- Represented a multi-state mortgage brokerage in several corporate finance matters including drafting a private placement memorandum and board resolutions for the sale of common and preferred stock.
