Anthony Gruzdis

Anthony Gruzdis is a member of the firm’s Business & Corporate Law Department focusing his practice on business and corporate transactions. This includes mergers and acquisitions, venture capital financing, corporate reorganizations, business formation and governance, succession planning, contract review and drafting, and other general business representation.

Additionally, Anthony has experience with minority- and women-owned business registrations, trademark registration and maintenance, franchise formation and regulation, state and federal business litigation, Corporate Transparency Act compliance, and representing commercial lenders.

Earlier in his career, he served as a paralegal and research assistant for a public policy research organization and participated in the filing of over 100 United States Supreme Court and federal appellate amicus briefs.

  • individual business owners in their entry into voluntary tax disclosure programs to correct previous tax errors and minimize future tax liability.

  • an office supply distributor in multiple acquisitions of other office supply companies.
  • a newly formed LLC in the acquisition of membership interests in a pest control company.
  • a button maker in a strategic acquisition.
  • a closely held distributor of electrical and mechanical power transmission equipment and supplies in the sale of assets to a larger strategic partner.
  • a custom cabinet sales and installation business in the sale of its assets to a private equity firm.
  • a cold storage warehouse and transportation logistic company in connection with a corporate restructure and consolidation for operational utility and succession planning.
  • an early-stage medical device company in connection with the conversation to a corporation.
  • a heavy equipment leasing company in connection with corporate restructuring and recapitalization, gifting of shares/partnership interests, and the sale of the remaining shares to the next generation.
  • a flooring company in a corporate recapitalization and restructuring.

  • two privately-owned commercial construction companies in the merging and reorganization in preparation for the sale of the merged entity to a third-party buyer.
